Mr. Khoja is an associate in Thelen's Business and Finance Department in the San Francisco office. His practice focuses on transactions in the energy and infrastructure sector, representing leading equipment manufactures and other cleantech clients developing domestic and international renewable energy projects utilizing diverse generation technologies including wind, solar and biomass. He regularly assists these clients with a range of legal and commercial issues arising in subcontracting agreements; equipment supply, installation, and testing agreements; operation and maintenance agreements; and related project contracts. Mr. Khoja also has significant experience representing insurers in complex mergers and acquisitions (including preparation of stock and asset purchase and sale agreements and board and shareholder documents), other transactions requiring regulatory approvals, and general corporate matters. He also has an active practice representing and advising nonprofits on privacy law, disclosure requirements, and corporate governance issues, including preparation and negotiation of internal formation documents.
Mr. Khoja is also an active member of Thelen's National Diversity Committee and recruiting team.
Renewable Energy Projects
Representation of Danish wind turbine manufacturer and its international subsidiaries in connection with project documentation for the financing, construction, operation and servicing of numerous wind energy projects throughout North America, Latin America and Europe, as well as the sale, supply and transport of wind turbine equipment in connection with these projects.
Representation of an international manufacturer of thin film solar cells with equipment supply and warranty agreements, and acquisition of manufacturing equipment.
Representation of for energy-focused private equity fund in the acquisition and disposition of numerous renewable energy projects and other fossil fuel power generation, including acquisition of a $300 million portfolio of landfill gas projects throughout the United States and disposition of over $100 million in power generation assets in the Caribbean and Central America.
Mergers & Acquisitions
Representation of a leading medical malpractice insurance company in connection with mergers and acquisitions, corporate governance and a wide variety of other transactional matters.
Nonprofits
Representation of the charitable foundation of public educational institution in connection with privacy and disclosure issues in connection with institutional investments.
